White Label Program Terms

Under the Program, NinjaLeads provides you with a rebranded ("white labeled") version of our lead generation platform (the "Platform") that you may market and sell under your own brand. For clarity:

• "End Customers" are the individuals or businesses who buy access to your branded Platform from you.
• We provide the underlying technology, hosting, and maintenance; you own the customer relationship and set your own retail pricing.
• Your right to use the Platform is a limited license, not a sale or transfer of ownership of the software.

Participation in the Program involves the following fees, payable to NinjaLeads:

• A one-time setup fee covering branding, configuration, and onboarding.
• A recurring monthly maintenance fee, billed in advance, covering hosting, updates, security, and support.
• Any additional fees agreed in writing for custom development or added services.

We may change any Program fee at any time, at our sole discretion. This includes the setup fee, the monthly maintenance fee, and any other charges. You expressly acknowledge and agree that:

• Any price we quote or offer to you, whether promotional, introductory, "early partner", founder, or negotiated, is not locked, not permanent, and creates no obligation on us to maintain that price.
• We may increase, decrease, restructure, or add fees at any time. Increases apply from the next billing cycle after we make the change available or notify you.
• A discounted or introductory rate does not guarantee that rate at renewal. There is no "grandfathering" of pricing unless we agree to it in a signed writing.
• Your only remedy if you do not accept a new price is to cancel before the change takes effect. Continued use or payment after a change constitutes acceptance of the new pricing.

We grant you a limited, non-exclusive, non-transferable, revocable license to market the Platform under your own brand for the duration of your active participation in the Program. You acknowledge that:

• NinjaLeads retains all ownership of the underlying software, code, infrastructure, and intellectual property.
• You may apply your brand, logo, colors, and domain, but you may not reverse engineer, resell the underlying code, or sublicense outside the Program.
• Core features remain the same as NinjaLeads to ensure stability; we may modify, add, or remove features at any time.

Upon termination, your license ends and you must cease presenting the Platform as your own.

The monthly maintenance is billed on a recurring basis with no long-term lock-in unless separately agreed. Either party may end the arrangement as follows:

• You may cancel with notice before your next billing cycle; fees already paid are non-refundable.
• We may suspend or terminate for non-payment, breach, misuse, or legal risk, with or without notice.
• On termination, your and your End Customers' access to the Platform ends. You are responsible for notifying and transitioning your End Customers.
